1. INTRODUCTION
These Social Reach Terms and Conditions (the “Terms”) govern the use of organic social media services (the “Services”) provided by The N2 Company d/b/a Hyport (“Hyport”), a Delaware corporation, to its clients. These Terms are incorporated into and form part of the Digital Marketing General Terms and Conditions (“General Terms of Service”). The Services are offered as a managed solution combining technology with services to facilitate effective social media communications using third-party platforms and technology providers (each a “Service Provider”). Capitalized terms not defined here have the meaning assigned in the General Terms of Services.
The terms “we”, “us” or “our” shall refer to Hyport. The terms “you”, “your”, or “client” shall refer to any individual or entity receiving the Services under these Terms.
2. ACCEPTANCE OF TERMS
By using the Services, Client agrees to comply with these Terms, as well as any applicable policies, guidelines, and regulations imposed by the relevant Service Provider. We reserve the right to modify these Terms at any time, with changes effective upon posting online. Continued use of the Services after such changes or modifications constitutes acceptance of the updated terms.
3. SCOPE OF SERVICES
For Order Forms listing Social Reach, Hyport will create and schedule organic (non-paid) social media content for Client’s designated social media accounts, such as Facebook and Instagram. The Services do not include video or picture editing, posting videos or stories, responding to comments, messages, or reviews, nor do we provide social media account monitoring.
4. ACCESS AND ACCOUNT SETUP
Client must provide access to its Facebook and Instagram accounts through a third-party social media management tool. Hyport will not request or require direct login credentials. If Client does not have a Facebook page, Hyport will create one on their behalf and transfer control to Client using the email address provided by Client. Client must accept the ownership transfer request to gain full control of the account.
5. CONTENT CREATION AND APPROVAL
Hyport will create and schedule social media posts based on general brand and content guidelines provided by Client during the kickoff call or set-up meeting. Once content is created, we will provide Client with a link to review scheduled posts. Client will have three (3) business days to disapprove any post(s). If no disapproval is received within this period, all content will be deemed approved and scheduled for posting. Revisions requested outside the disapproval window may be accommodated at our discretion and may be subject to additional fees.
6. REPORTING AND PERFORMANCE TRACKING
Hyport will provide Client with a link to an online report containing performance data. No additional performance reporting will be provided.
7. WARRANTY; LIMITATIONS OF LIABILITY; INDEMNITY; DISPUTE RESOLUTION
You expressly agree and acknowledge that your use of the Services is subject to the entirety of our General Terms of Service, and specifically those sections governing Hyport’s Limitation of Liability, your obligations of Indemnification arising from or relating to your use of the Services, and the parties’ agreed-upon procedure for Dispute Resolution, including arbitration.
